Terms of Service

These Terms of Service (“Terms”) govern your access to and use of NeoProfit (“the App”), a Shopify application operated by NeoProfit (“we”, “us”, or “our”). By installing or using the App, you agree to be bound by these Terms.

1. Use of the App

NeoProfit is a profit analytics tool for Shopify merchants. It reads order data, product costs, and optional ad spend from connected platforms to calculate and display profit metrics. You may use the App solely for your own internal business purposes in connection with your Shopify store.

You agree not to:

• Reverse engineer, decompile, or attempt to extract the source code of the App
• Resell, sublicense, or otherwise make the App available to third parties
• Use the App for any unlawful purpose or in violation of Shopify’s Partner Policies
• Circumvent any usage limits, authentication, or access controls

2. Account and Access

Access to the App is granted through your Shopify store. You are responsible for maintaining the security of your Shopify admin account and for all activity that occurs under it. We are not liable for any loss resulting from unauthorized access to your account.

3. Subscription and Billing

NeoProfit is offered on a subscription basis. Billing is handled entirely through Shopify’s billing system. By subscribing to a paid plan, you authorize Shopify to charge the applicable fees to your Shopify account on our behalf.

• Free trial — where offered, a free trial period begins on the date you install the App. At the end of the trial, your chosen plan will be billed automatically unless you cancel beforehand.
• Cancellation — you may cancel at any time by uninstalling the App from your Shopify admin. Your access will continue until the end of the current billing period.
• Refunds — we do not offer refunds for partial billing periods. If you believe you have been charged in error, contact us at hello@neoprofit.app.
• Plan changes — upgrades and downgrades take effect immediately and are prorated by Shopify.

4. Data and Privacy

Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We collect and process data only as described in that policy.

You retain ownership of all data associated with your Shopify store. By using the App, you grant us a limited license to access and process that data solely for the purpose of providing the App’s features.

5. Third-Party Integrations

The App may integrate with third-party services including TikTok for Business, Meta (Facebook & Instagram) Ads, and Google Ads. These integrations are subject to the respective terms and privacy policies of those platforms. We are not responsible for the availability, accuracy, or conduct of any third-party service.

Connecting a third-party ad platform is entirely optional. You may disconnect any integration at any time. Upon disconnection, stored access tokens and cached data from that platform are deleted.

6. Accuracy of Data

NeoProfit aggregates data from Shopify and connected ad platforms to provide profit estimates. Figures displayed in the App are calculated based on the data available and the settings you configure. We make no warranty that the figures are complete, accurate, or suitable for tax, accounting, or legal purposes. You should not rely solely on the App for financial decisions without independent verification.

7. Availability and Modifications

We strive to maintain high availability but do not guarantee uninterrupted access to the App. We may perform scheduled or unscheduled maintenance that temporarily affects availability. We reserve the right to modify, suspend, or discontinue any feature of the App at any time, with or without notice.

We may update these Terms from time to time. Continued use of the App after an update constitutes acceptance of the revised Terms. We will update the “Last updated” date above when changes are made.

8. Disclaimer of Warranties

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE ERROR-FREE OR THAT ANY DEFECTS WILL BE CORRECTED.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEOPROFIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE APP, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM YOUR USE OF THE APP SHALL NOT EXCEED THE TOTAL FEES YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM.

10. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes arising under these Terms shall be resolved through good-faith negotiation between the parties before resorting to formal legal proceedings.

11. Shopify Requirements

NeoProfit is built on the Shopify platform and is subject to Shopify’s API Terms of Service and Partner Program Agreement. In the event of a conflict between these Terms and Shopify’s policies, Shopify’s policies shall prevail with respect to App Store conduct.
